Terms & Conditions

1. Introduction

These Terms & Conditions (“Agreement”) govern the provision of services by Cronizen (“Cronizen”, “Agency”, “we”, “our”, “us”) to the client (“Client”, “you”, “your”).

By engaging Cronizen, signing a proposal, paying an invoice, or otherwise accepting our services, the Client acknowledges that they have read, understood, and agreed to be bound by these Terms & Conditions.

In the event of any conflict between these Terms and an executed Service Agreement or Proposal, the Service Agreement shall prevail.

2. Nature of Services

Cronizen is a strategic marketing and advertising consultancy providing services including, but not limited to:

Marketing strategy

Marketing roadmaps

Brand positioning

Meta advertising

Google advertising

Campaign management

Performance optimization

Market research

Competitor analysis

Creative consultation

Digital marketing advisory

Cronizen provides professional services based upon commercially reasonable efforts, industry best practices, and available information at the time services are performed.

3. No Guarantee of Results

The Client expressly acknowledges that marketing, advertising, and business growth involve numerous variables that are beyond the Agency’s control.

Accordingly:

Cronizen makes no representation, warranty, promise, guarantee, or assurance regarding:

revenue;

profit;

return on investment (ROI);

sales volume;

lead generation;

customer acquisition;

conversion rates;

website traffic;

search rankings;

brand awareness;

advertising performance; or

any other commercial outcome.

Any projections, estimates, forecasts, case studies, historical performance, examples, benchmarks, discussions, opinions, or recommendations communicated by Cronizen are illustrative only and shall not constitute guarantees or contractual commitments.

Past performance shall not be interpreted as indicative of future results.

4. Commercial Risk

The Client acknowledges that all marketing investments involve commercial risk.

The Client assumes sole responsibility for all business decisions made in reliance upon the Agency’s recommendations.

Cronizen shall not be liable merely because an advertising campaign fails to achieve the Client’s expectations, financial objectives, internal forecasts, or desired business outcomes.

5. Client Responsibilities

The Client agrees to provide accurate, complete, and timely:

branding materials;

product information;

pricing;

business objectives;

website access;

advertising account access;

analytics access;

approvals;

legal compliance information; and

any other materials reasonably required.

Cronizen shall not be responsible for delays, underperformance, or additional costs resulting from incomplete, inaccurate, outdated, misleading, or delayed information supplied by the Client.

6. Client Approvals

The Client is solely responsible for reviewing and approving:

advertisements;

creative assets;

landing pages;

copywriting;

promotional claims;

product information;

pricing;

legal notices;

disclaimers; and

published content.

Once approved by the Client, responsibility for the accuracy and legality of such materials rests exclusively with the Client.

7. Third-Party Platforms

Cronizen utilizes platforms and services operated by independent third parties including, but not limited to:

8. Advertising Spend

Unless expressly agreed otherwise in writing:

Advertising budgets are paid directly by the Client to the relevant advertising platform.

Advertising spend is separate from Cronizen’s service fees and remains the Client’s sole responsibility

Cronizen does not guarantee that larger advertising budgets will produce proportionately better results.

9. Recommendations

Cronizen provides professional recommendations based upon available market data, industry experience, and commercially reasonable judgment.

The Client remains solely responsible for deciding whether to implement any recommendation.

10. Performance Fluctuations

The Client acknowledges that campaign performance may fluctuate due to factors including, but not limited to:

seasonality;

competition;

market demand;

consumer behaviour;

economic conditions;

geopolitical events;

platform algorithm changes;

advertising auctions;

tracking limitations;

privacy regulations;

browser updates;

operating system changes;

inaccurate attribution;

product pricing;

inventory;

website quality;

checkout experience;

customer service;

shipping;

reviews; and

other external influences beyond the Agency’s reasonable control.

Such fluctuations shall not constitute evidence of negligence or breach of contract.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Cronizen shall not be liable for:

indirect damages;

consequential damages;

incidental damages;

punitive damages;

special damages;

exemplary damages;

loss of profits;

loss of anticipated savings;

loss of business opportunity;

loss of goodwill;

business interruption;

reputational damage;

loss of data; or

economic loss.

Cronizen’s aggregate liability arising out of or relating to the provision of services shall not exceed the total amount of professional service fees actually paid to Cronizen by the Client during the three (3) months immediately preceding the event giving rise to the claim.

This limitation shall apply regardless of the legal theory asserted.

Nothing in these Terms excludes liability that cannot legally be excluded under applicable law

12. No Fiduciary Relationship

The relationship between Cronizen and the Client is that of independent contracting parties.

Nothing contained herein shall create any partnership, joint venture, employment relationship, agency, fiduciary duty, or other special relationship.

13. Intellectual Property

Unless otherwise agreed in writing:

Cronizen retains ownership of:

proprietary methodologies;

frameworks;

processes;

internal documentation;

templates;

strategies;

analytical models;

automation systems;

reporting structures; and

intellectual property developed independently of the Client.

Upon full payment, the Client receives a non-exclusive licence to use the deliverables specifically created for their business.

14. Confidentiality

Both parties agree to keep confidential all non-public information exchanged during the course of the engagement and shall not disclose such information except where required by law.

15. Force Majeure

Cronizen shall not be liable for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, cyberattacks, internet outages, government actions, labour disputes, platform failures, epidemics, acts of war, or similar unforeseen events.

16. Termination

Either party may terminate the engagement in accordance with the applicable Service Agreement.

Termination shall not affect accrued payment obligations.

Fees paid for services already rendered are non-refundable unless otherwise agreed in writing.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable in the jurisdiction where Cronizen is legally established.

Any disputes shall be submitted to the competent courts of that jurisdiction unless mandatory consumer protection laws require otherwise.

18. Entire Agreement

These Terms, together with any signed Proposal, Statement of Work, or Service Agreement, constitute the entire agreement between the parties and supersede all prior discussions, representations, and understandings.

19. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
